Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Reoxis platform (“Service”), operated by Reoxis LLC, an Illinois limited liability company (“Reoxis,” “we,” “us”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and your organization (“Customer”).

1. Service Description

Reoxis is a cloud-based software-as-a-service platform for durable medical equipment (DME) and home medical equipment (HME) suppliers. The Service includes patient management, order tracking, delivery dispatch, electronic faxing, insurance billing, inventory control, compliance documentation, and related features.

2. HIPAA Compliance & Business Associate Agreement

The Service processes protected health information (PHI) as defined by the Health Insurance Portability and Accountability Act (“HIPAA”). Prior to entering PHI into the Service, Customer must execute a Business Associate Agreement (“BAA”) with Reoxis. The BAA is incorporated by reference into these Terms. Use of the Service to process PHI without an executed BAA is prohibited and constitutes a material breach.

Customer is solely responsible for ensuring its use of the Service complies with HIPAA, the Health Information Technology for Economic and Clinical Health (HITECH) Act, and all applicable state privacy laws.

3. Accounts & Access

Customer is responsible for all activity that occurs under its account. Customer must maintain the confidentiality of credentials and notify Reoxis immediately of any unauthorized access. Reoxis enforces single-session enforcement: concurrent logins from multiple devices with the same credentials are not permitted.

Access is granted on a named-user basis within the limits of Customer's subscription tier. Customer may not share login credentials between individuals.

4. Subscription & Payment

The Service is offered on a monthly or annual subscription basis. Current pricing tiers are:

  • Starter — $399/month (up to 150 active patients, 3 users)
  • Growth — $649/month (up to 500 active patients, 8 users)
  • Pro — $999/month (unlimited patients, 20 users)
  • Enterprise — custom pricing

Annual subscriptions receive two months free (10 months billed, 12 months of access). Subscriptions auto-renew unless canceled at least 30 days before the renewal date. All fees are non-refundable except as required by law or as expressly stated herein.

Reoxis may update pricing with 60 days' written notice. Continued use after the effective date of a pricing change constitutes acceptance.

5. Acceptable Use

Customer agrees not to:

  • Use the Service for any purpose other than the management of legitimate DME/HME operations;
  • Enter false, fraudulent, or fictitious patient, billing, or insurance information;
  • Submit claims or documentation to payers that Customer knows to be false or unsupported by medical necessity;
  • Attempt to circumvent any security, access control, or audit mechanism;
  • Reverse-engineer, decompile, or copy the Service;
  • Resell or sublicense access to the Service without Reoxis's written consent.

6. Data Ownership & Export

Customer retains ownership of all data it enters into the Service, including PHI. Reoxis does not sell or use Customer data to train AI models or for any purpose other than operating and improving the Service. Upon termination, Customer may export its data for 90 days before it is deleted from Reoxis systems.

7. Service Availability

Reoxis targets 99.5% monthly uptime excluding scheduled maintenance. Scheduled maintenance windows will be announced at least 48 hours in advance and occur outside peak operating hours (weekdays 7 AM–6 PM Central Time).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REOXIS'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS IS LIMITED TO THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. REOXIS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE OR LOST PATIENT REIMBURSEMENTS.

Nothing in these Terms limits Reoxis's liability for death, personal injury, fraud, or any liability that cannot be excluded under applicable law.

9. Termination

Either party may terminate for convenience with 30 days' written notice. Reoxis may terminate immediately for: (a) material breach including non-payment; (b) use of the Service for illegal purposes; (c) violation of HIPAA that exposes Reoxis to regulatory risk. Upon termination, Customer's access is revoked and data export is available for 90 days.

10. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Disputes shall be resolved in the courts of Cook County, Illinois.

11. Changes to These Terms

Reoxis may update these Terms with 30 days' notice delivered via email or in-app notification. Continued use after the effective date constitutes acceptance. If Customer does not accept updated Terms, it may terminate per Section 9.
